Terms and Conditions

1. Acceptance of Terms

By engaging ScanDesignz, requesting a proposal, or submitting an intake form, the client acknowledges and accepts these terms and conditions in full.

2. Scope of Services

All services will be delivered strictly in accordance with the scope outlined in the approved proposal. Any additions, modifications, or changes beyond the agreed scope will be treated as a variation and may be subject to additional fees and timeline adjustments.

3. Commercial Terms and Payment Structure

A non-refundable advance payment of 50 percent of the total project fee is required to initiate the project. Work will commence only upon receipt of the advance. The remaining 50 percent balance is due prior to the release of final high-resolution files, source files, or animation outputs.

Currency & Due Date: All amounts are invoiced in USD (or as specified in the invoice). Payment is due within 14 calendar days from the invoice date unless otherwise agreed in writing.

Transfer Fees: The Client shall be responsible for any third-party banking, wire transfer, currency conversion, or processing fees associated with international payments.

For phased projects, milestone-based payments may be defined within the proposal. Overdue payments may incur interest at a rate of 1.5% per month or the maximum amount permitted by applicable law, whichever is lower. Late payments may result in project suspension or delayed delivery.

4. Revisions Policy

The proposal includes a defined number of revision rounds as specified in the commercial document. Revisions refer to reasonable design refinements within the approved direction. Significant conceptual changes, scope shifts, or material alterations after approval of a phase may incur additional charges.

5. Client Responsibilities

The client agrees to provide all required materials including but not limited to:

• CAD drawings, plans, elevations, and dimensions
• Material specifications
• Branding guidelines
• Reference imagery
• Written briefs

Delays in providing required information may affect the agreed timeline.

6. Timeline and Delivery

Project timelines are estimates based on the scope at the time of approval. Timelines begin upon receipt of advance payment and all required project materials. Delivery dates may be adjusted in case of scope changes, delayed client feedback, or unforeseen circumstances.

7. Intellectual Property and Usage Rights

Upon full payment, the client is granted usage rights for the final approved deliverables for marketing, presentation, and commercial use related to the specific project. All working files, raw files, and editable source files remain the intellectual property of the studio unless otherwise agreed in writing.

The studio retains the right to use the work for portfolio, marketing, and promotional purposes unless a written non-disclosure agreement is in place.

8. Confidentiality

All client information and project materials will be treated as confidential and will not be disclosed to third parties without prior consent, except where required by law.

9. Cancellation and Termination

If a project is canceled after commencement:

• The 50 percent advance payment remains non-refundable.
• Additional work completed beyond the advance value will be invoiced accordingly.

Either party may terminate the agreement in writing with reasonable notice.

10. Digital Marketing & Web Liability Limitation

While ScanDesignz engineers digital products optimized for marketing and search visibility, we do not guarantee specific sales velocity, lead generation volumes, or SERP rankings. The studio's liability is limited to the total amount paid for the specific project. The studio shall not be liable for indirect, incidental, or consequential damages arising from the use of the deliverables or subsequent marketing campaigns.

11. Governing Law & Amendments

Unless otherwise agreed in writing, all agreements shall be governed by the laws of the jurisdiction in which the studio is registered. ScanDesignz reserves the right to amend these terms at any time; changes will be reflected on this page.
